Terms and Conditions of Sale

1. Object and Scope

These terms and conditions of sale (T&Cs) govern the contractual relationship between our company (hereinafter referred to as "the Provider") and any individual or legal entity (hereinafter referred to as "the Client") wishing to use the services offered by the Provider. The services include:

  • Virtual assistant services

  • Website creation

  • Social media management

  • Corporate networking event organization

  • Business development consulting and mentoring

2. Acceptance of Terms

Placing an order implies full and unreserved acceptance by the Client of these T&Cs, to the exclusion of any other documents such as brochures or catalogs issued by the Provider, which are only indicative.

3. Orders

Orders are validated in writing, by email, or through the Provider's website. Any order placed by the Client is firm and final, unless otherwise agreed in writing by the Provider.

 

4. Pricing

The applicable prices are those in effect on the date of the order. Prices are expressed in Mauritian Rupees (MUR), excluding taxes (HT), and are subject to VAT at the applicable rate on the date of the order. Travel, accommodation, or any other additional expenses are not included and will be invoiced separately.

5. Payment Terms

Payment is made as follows:

  • 100% at the time of the order

The Client agrees to pay the total amount before the commencement of the services. Payment can be made by bank transfer, credit card, or any other payment method accepted by the Provider.

 

6. Execution Timeframes

The execution timeframes indicated by the Provider are indicative and without guarantee. A delay does not justify the cancellation of the order nor does it entitle the Client to penalties or damages.

 

7. Client Obligations

The Client agrees to provide the Provider with all necessary documents, information, and data required for the proper execution of the services. The Client guarantees that these elements are accurate, complete, and usable..

 

8. Intellectual Property

The Provider retains intellectual property rights over studies, designs, creations, and developments carried out as part of the services. The Client has a personal, non-exclusive right to use the results of the services.

 

9. Confidentiality

Both the Provider and the Client agree to keep strictly confidential all information and documents designated as such, exchanged between them during the execution of the services.

 

10. Liability

The Provider's liability is limited to direct and proven damages suffered by the Client, resulting from a fault of the Provider in the performance of its contractual obligations. In no event shall the Provider be liable for indirect damages such as data loss, loss of revenue, loss of profit, or damage to the Client's image.

 

11. Force Majeure

The Provider shall not be held liable in the event of force majeure or events beyond its control preventing the execution of its obligations. Cases of force majeure include, but are not limited to, strikes, natural disasters, pandemics, telecommunications interruptions, and any other circumstances beyond the reasonable control of the Provider.

 

12. Termination

In the event of non-compliance by either party with its obligations, the contract may be terminated by the other party after a formal notice has remained without effect for thirty (30) days. In the event of early termination by the Client, the Client shall be liable for the amount of services already performed by the Provider.

 

13. Governing Law and Jurisdiction

These T&Cs are governed by Mauritian law. Any dispute relating to their interpretation and/or execution shall be submitted to the competent courts of the Supreme Court of Mauritius.

 

14. Final Provisions

If any provision of these T&Cs is declared null or unenforceable, the other provisions shall remain in effect. Any modification or waiver of these T&Cs shall only be valid after a written agreement signed by both parties.
